Terms of Use

Welcome to Ambiance. These Terms of Use ("Terms") govern your access to and use of ambiance-music.com and any related mobile applications, features, or services (collectively, the "Platform").

By accessing or using the Platform, creating an account, or clicking "I Agree," you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

1. Description of Services

The Platform acts as a marketplace venue connecting independent live musicians, performers, and musical groups ("Musicians") with individuals, event planners, venues, and organizations seeking live music ("Clients"). The Company provides the technology to facilitate connections, communications, and booking arrangements; it is not a party to any contract formed between Musicians and Clients.

2. Account Registration & Eligibility

  • Age Requirement: You must be at least 18 years old or the legal age of majority in your jurisdiction to create an account or book services.
  • Accuracy: You agree to provide accurate, current, and complete information during registration and to keep your profile updated.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access.

3. User Conduct & Obligations

A. For Musicians

  • Professional Standards: You represent that you possess the skills, equipment, and authorization necessary to perform the services advertised on your profile.
  • Content Authenticity: All audio files, video clips, photos, and promotional materials uploaded to your profile must be your original work or properly licensed to you.
  • Independent Contractor Status: Musicians operate as independent contractors. Nothing in these Terms creates an employer-employee, agency, joint venture, or partnership relationship between any Musician and the Company. Musicians are solely responsible for their own tax obligations, insurance, licenses, and permits.

B. For Clients

  • Booking Accuracy: You agree to provide accurate details regarding event locations, performance times, venue setups, and expectations.
  • Safe Working Environment: Clients agree to provide a safe, suitable performance environment for Musicians in compliance with all local laws and regulations.

C. Prohibited Activities

All users agree not to:

  • Use the Platform to solicit transactions outside the Platform to circumvent fees.
  • Post false, misleading, defamatory, offensive, or infringing content.
  • Harass, abuse, or harm another user.
  • Use automated scrapers, bots, or data-mining tools to access or extract data from the Platform.

4. Bookings, Payments, and Fees

  • Booking Agreements: When a Client accepts a Musician's quote or proposal, a legally binding contract is formed directly between the Client and the Musician governing performance details, cancellation policies, and compensation.
  • Service Fees: The Company may charge platform fees, processing fees, or commission rates on completed bookings. All applicable fees will be displayed prior to confirming a booking.
  • Payment Processing: Payments are processed securely via third-party payment gateways (e.g., Stripe). By submitting payment details, you authorize the Company and its processing partners to charge the designated amounts.
  • Cancellations and Refunds: Cancellations and refund requests are governed by the specific cancellation policy selected by the Musician at the time of booking, unless otherwise determined by the Company in its sole discretion.

5. Intellectual Property Rights

  • Our Content: The Platform's design, text, software, graphics, logos, and trademarks are owned by or licensed to the Company and are protected by copyright and intellectual property laws.
  • User Content: You retain ownership of any media, text, or profile content you upload ("User Content"). By uploading User Content, you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable license to display, reproduce, modify, and distribute your content solely for the purpose of operating, marketing, and promoting the Platform.

6. Disclaimers and Limitation of Liability

  • "As-Is" Service: The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. The Company explicitly disclaims all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • No Endorsement: The Company does not endorse, guarantee, or verify the credentials, background, safety, performance quality, or financial integrity of any Musician or Client. Users interact and contract with each other at their own risk.
  • Limitation of Liability: To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits or revenues, resulting from your use of the Platform or the performance or conduct of any third party.

7. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your access to or use of the Platform, your User Content, your breach of these Terms, or your performance/conduct at an event.

8. Termination

We reserve the right to suspend or terminate your account and restrict access to the Platform at our sole discretion, without notice or liability, for conduct that violates these Terms or is harmful to other users or the Company.

9. Dispute Resolution & Governing Law

  • Governing Law: These Terms shall be governed and construed in accordance with the laws of Utah, without regard to its conflict of law principles.
  • Direct Resolution: In the event of a dispute between users, the parties agree to make a good-faith effort to resolve the issue directly before pursuing legal action.

10. Changes to Terms

We reserve the right to modify or update these Terms at any time. We will notify users of material changes by updating the "Last Updated" date at the top of this page or via email/site notifications. Continued use of the Platform after updates constitutes acceptance of the modified Terms.
